An actively managed certificate (AMC) and a credit-linked note (CLN) are both bankable securities issued from a securitisation vehicle, both carry an ISIN, and both let professional investors hold an otherwise hard-to-access exposure through their bank. From the outside they can look similar. But they are built for different jobs: an AMC is a strategy wrapper, while a CLN is a credit and financing tool. Choosing between them starts with what you are actually trying to do.
What each one is for
An AMC packages a managed portfolio. A manager runs a strategy — equities, multi-asset, alternatives, private assets — with discretion to trade within agreed rules, and the certificate's value tracks that managed book. The point is to give investors a single ISIN that delivers the manager's strategy.
A CLN packages credit risk. Its repayment is linked to a reference obligation — typically a loan, a borrower, or a basket of credits. Investors take that credit risk and earn an enhanced coupon; if a defined credit event occurs, their principal is reduced according to the recovery. The point is usually to finance something — a real estate project, a private loan, a borrower — and turn that financing into a security investors can buy.

When an AMC is the right choice
Use an AMC when the value of the product comes from ongoing investment decisions. If you are an asset manager with a discretionary strategy — long-only, long/short, macro, multi-asset, or a book of private assets — and you want professional investors to access that strategy as a single bankable security, the AMC is the natural wrapper. It is also the route for building an audited track record under an ISIN before launching a fund.
When a CLN is the right choice
Use a CLN when the goal is financing and the investor is taking credit risk for a coupon. If you are financing a defined real estate project, syndicating a private loan, or giving credit investors exposure to a borrower or pool — and you want that delivered as a bankable, custody-settled security rather than a bilateral loan — the CLN is the natural fit. The economics flow from the loan and the coupon, not from active portfolio management.
A simple test
Ask one question — is the return driven by a manager's decisions, or by credit risk and a coupon?
- If it is a manager actively running a strategy, choose an AMC.
- If it is financing a project or borrower and paying a coupon for credit risk, choose a CLN.
For a real estate opportunity that usually points to a CLN; for a discretionary investment strategy, to an AMC. Some situations could use either, and the right answer then depends on investor expectations, the risk profile you want to present, and the economics.
